HTP Group Terms and Conditions of Use/Content Agreement

Welcome to HTP Group. The following terms and conditions are important things that you should know before using or accessing HTP Group. Please read them carefully. By accessing or using any part of HTP Group or any of the products or services offered by or through HTP Group, you agree to be bound by the following terms and conditions of use. If you do not wish to be bound by these terms and conditions, you may not access or use HTP Group. If these conditions change, you will be notified via email.

HTP Group and its affiliates and partners respect the privacy of its visitors. HTP Group does not collect any personal information through the web site without the knowledge of the visitor. HTP Group is an Holding Company site. You can only register on the operating companies sites Hightech Partners, Hoffman Associates, Ataya and Partners:

2) Leader's Club

Users will be required to enter valid contact data. As a member you will receive number of emails during a 12 months period. It is a direct information mailout and may contain in addition to our content, news and interviews related to the industry from a vendor. Vendor members will receive our monthly vendor newsletter. Registered members of each site will also be offered a variety of other email or mailstreams such as ebulletins, newsletters and announcements. You will have the option to remove yourself from these particular mailouts whenever you wish. As part of your individual (Free/Guest and Leader's Club) memberships, there is a mandatory requirement to subscribe such mailout. Unsubscribing from this stream will deactivate your membership and cause inaccessibility to the site.

FREE MEMBERSHIPS

We offer a free memberships program. Members who do not wish to continue and click the opt-out link, will be removed from the free membership, as long as they remain as registered members they have to abide to the present Terms & Conditions of Use of the website and accepting to be registered implies that they have fully read and understand these terms and conditions and that agree to them.

Cancellation Policy

There are many products and services, including memberships, that have fees or charges associated with them. It is assumed that existing members, and individuals new to the site, who buy or pay for these services are fully aware of what they are buying/purchasing and that they have read all documentation (product descriptions, advertising, etc.) regarding the product, service, membership, etcetera, to have made that choice. There are no refunds whatsoever for memberships once activity on the site has been established after the purchase of that membership. Products that have been determined to be defective or damaged can be returned to us for a full refund within a reasonable amount of time deemed by one of our sales representatives (via email or documented phone call). The cancellation policy of other products, services, etcetera that appear on respective sites but are offered by other companies or individuals, are the sole responsibility of those companies or individuals. We do not assume any liability of any sort resulting in the purchase of those particular products, services, etcetera and does not endorse the purchase of the same.

Copyright and Permitted Use of HTP Group Materials/Content

HTP Group site is owned and operated by HTP Group our swiss subsidiary. Except where otherwise noted, the content of HTP Group's web pages that have been created, provided, written and published by HTP Group staff, including the design, text, graphics and arrangement thereof, and the software used herein, is the property of and is owned and controlled by HTP Group and is the copyrighted material of HTP Group or its content providers. ALL RIGHTS ARE RESERVED. No materials from HTP Group that have been created, written and published by HTP Group staff, companies' staff may be copied, duplicated, downloaded, reproduced, sold, resold, shown or played in public, republished, uploaded, posted, stored, transmitted or distributed, adapted or changed in any way or otherwise exploited for any commercial purpose that is not expressly permitted by HTP Group, except that you may electronically copy and print in hard copy, portions of HTP Group for your personal, non-commercial use only. "HTP Group"; all of our own custom page headers, logos, graphics and button icons are service marks, trademarks and/or trade dress of HTP Group. All other trademarks, product names and company names or logos cited anywhere on HTP Group are the property of their respective owners.

No License

Except as expressly provided, nothing contained in these terms and conditions or anywhere on HTP Group shall be construed as conferring any license under any intellectual property rights of HTP Group or any third party.

Rules at HTP Group

To guide you in using HTP Group responsibly, we has established the following rules. If you do not abide by these rules while using HTP Group, we have the right to prohibit you from using HTP Group website and may terminate any account that you may have on HTP Group. While using HTP Group, you may not:

1.   upload, post, email, transmit or otherwise distribute any data, text, information, messages, software, music, sound, photographs, graphics, video messages or other material:

(a) constituting or encouraging conduct that would intentionally or unintentionally violate any applicable local, state, provincial, national or international law or give rise to civil liability, or otherwise use HTP Group in a manner which is contrary to law;

2.   upload, post, email, transmit or otherwise distribute any unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of solicitation except where specifically permitted on HTP Group;

3.   impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity; or

4.   collect or store personal data about other users of HTP Group.

While using HTP Group you will likely access third party web sites through search results displayed on HTP Group and links contained on HTP Group. Such third-party web sites are not under the control of HTP Group and we are not responsible for the availability of such sites or their contents. Any links provided on HTP Group are provided for your interest or convenience only and do not represent or imply any endorsement by HTP Group of any such linked site. You acknowledge that the use of such third party web sites is governed by the terms and conditions of use applicable to any such site.

HTP Group ITP SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR THE ACCURACY, CONTENT, TIMELINESS, COMPLETENESS, LEGALITY, RELIABILITY, QUALITY, SUITABILITY OR DECENCY OF ANY INFORMATION, ADVICE, CONTENT, SERVICE, PRODUCT OR MERCHANDISE CONTAINED IN SITES LISTED IN SEARCH RESULTS ON HTP Group OR OTHERWISE LINKED TO HTP Group.

Third Party Services

You may order services or merchandise through HTP Group. All matters concerning the merchandise and services desired from Seller, including but not limited to purchase terms, payment terms, warranties, guarantees, maintenance and delivery, are solely between you and Seller. You will not consider HTP Group as a party to such transactions, whether or not we may have received some form of revenue or other remuneration in connection with the transaction or be liable for any costs or damages arising out of, either directly or indirectly, you or any other person involved or related to the transaction.

User Content/ Content Agreement

HTP Group enables its members to post content (ie; articles, reviews, blogs, wikis, etc.) and comments on content, products and services (herein known as "Your Content"). Such members are solely responsible for any and all information posted as well as any consequences that may result from "Your Content". In posting your material, you are agreeing that you are the sole creator of that content and you are the owner of that copyright. HTP Group is not liable for any damages arising from the use of "Your Content". We have the right to refuse and remove any content uploaded, posted, emailed, reproduced, transmitted or otherwise distributed using HTP Group, including any of "Your Content". HTP Group may also retain "Your Content" and disclose it (including the contents of your private communications), (a) if required by law, (b) as may be required to prevent or correct any problem with or disruption of the operation of HTP Group, (c) in connection with any claim that "Your Content" violates the rights of any third party, (d) to protect itself, its officers, directors and employees, the users of HTP Group and the public, or (e) to enforce these terms and conditions.

In order to publish your content (ie; comments, articles, news, etcetera), you must agree to the following clauses as pointed out in HTP Group's Content Agreement.

1.   By providing Your Content through any publicly accessible areas of HTP Group or submitting any of Your Content to HTP Group, you automatically grant to HTP Group a perpetual, royalty free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute and display any of Your Content into any form, medium or technology now known or hereafter developed. -- This agreement does not in any way limit the Author(s) ability to use or publish their content elsewhere and the Author(s) shall retain the copyright.

2.   The Author(s) represents and warrants that the Content provided is original and does not violate or infringe upon any intellectual property rights of any person or entity, including without limitation, any copyright, trademark, patent, statutory, common law or the proprietary rights of others, or contain libelous or obscene material. Any excerpts from other copyrighted works shall only be included in the Content with the prior written permission of the copyright owners.

3.   If relevant, the Author(s) will take reasonable care in checking facts and statements and keep all notes and tape recordings made in the course of researching and writing the article. The notes will be made available to HTP Group to defend against any legal action or otherwise, and the Author(s) will cooperate with HTP Group and its attorneys should the need arise.

4.   If relevant, the Author(s) agree(s) to keep notes related to the Content for a period of five (5) years.

5.   The Author(s) grant(s) HTP Group the right to use the Author's (s') name(s) and likeness in promoting the Content and HTP Group. HTP Group reserves the right to edit all accepted Content to conform to our style presentation and format, taking care not to change the Author's (s') meaning.

6.   The Author(s) indemnifies and agrees to hold HTP Group, its parents, subsidiary and affiliated companies and their successors, officers, directors and employees harmless from any damage, cost of expense, including reasonable attorneys fees and costs of settlement, related to any claim, action or proceeding arising out of or in connection with this Agreement and/or the Author's representations or warranties hereunder.

By providing Your Content through any publicly accessible areas of HTP Group or submitting any of Your Content to HTP Group, you warrant that Your Content is not subject to any third party copyright or any other proprietary right and that you have full capacity and authority to make such posting, transmission, distribution or submission.

General Disclaimer of Representations and Warranties

HTP Group is providing HTP Group on an "AS IS, AS AVAILABLE" basis to users.HTP GroupP is a service to users seeking human resources news and information. You use HTP Group at your own risk. Indemnification and Release

Jurisdiction and Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Belgium and Switzerland. It can however be accessed from other places around the world. Although these places may have different laws from those of the above countries, by accessing HTP Group you agree that the laws of Belgium and Switzerland, without regard to rules relating to conflict of laws, will apply to all matters relating to your use of HTP Group. You and HTP Group also agree to submit to the non-exclusive jurisdiction of the courts of Belgium and Switzerland, with respect to such matters. Users of HTP Group accessing it from places outside of Belgium and Switzerland acknowledge that they do so voluntarily and are responsible for complying with local laws.

Miscellaneous
These terms and conditions and any and all documents specifically referenced herein, including our content agreement, constitute the entire agreement between you and HTP Group with respect to the subject matter hereof. No failure on the part of HTP Group to exercise and no delay in exercising any right under these terms and conditions shall operate as a waiver of such right. If any provision contained in these terms and conditions is determined by a court of competent jurisdiction to be illegal, invalid or otherwise unenforceable, that provision shall be severed from these terms and conditions and the remaining provisions shall continue in full force and effect.

You may provide information regarding your personal and professional background and upload your CV or resume in Microsoft Word or PDF format.

Providing any Candidate Information is purely voluntary on your part. Although it is generally true that, the more information you share with us, the better we are able to assess your potential suitability for an open executive or similar management position, we urge you not to disclose to us any Candidate Information that is likely of little or no relevance or may not even be legally considered as part of common hiring processes. This applies, in particular, to Sensitive Personal Information.

If and to the extent you share Candidate Information with us through the Site, we might follow up with you using the contact details you may have provided in order to clarify any questions we might have or obtain complementary information from you.

In addition, we might conduct assessments of your professional profile and perform searches for information on your personal and professional life publicly available via social media services (e.g. Facebook, Google, LinkedIn, Twitter, etc.), on the Internet (so not directly obtained from you) or within data you have previously disclosed to us, provided that such information might be of importance to your qualification for a particular executive or similar management position. Your Candidate Information will mainly be Processed by and on behalf of Hightech Partners. However, depending on how and where the Client Services need to be performed in your individual case, your Candidate Information might, in addition, be Processed by the Partners l and Consultants listed on our website.

Your Candidate Information Processed by Hightech Partners might contain (a) your contact details (name, address, phone number, email address, etc.), (b) your biographical data, (c) information on your professional education, and (d) your educational credentials, professional diplomas and certificates. In addition, it may contain (e) your employment and compensation history, (f) data on your suitability for client opportunities we compile as part of our assessments of your professional profile, (g) information on your personal and professional life publicly available via social media services (e.g. Facebook, Google, LinkedIn, Twitter, etc.) or otherwise on the Internet that might be of importance to your qualification for a particular executive or similar management position, and (h) any Sensitive Personal Information you might choose to disclose to us.

Please provide us with any relevant modifications and changes in your personal data.

As part of the Client Services, your Candidate Information may be Processed for the purposes of (a) executing searches for potential Candidates on behalf of clients that have an opening for an executive or similar management position, (b) assessing your suitability for client opportunities, (c) informing you of open executive or similar management positions potentially suitable for you, (d) introducing you to clients as a Candidate and potential future member of their management, and of (e) verifying your educational credentials, professional diplomas and certificates. In addition, your Candidate Information may be Processed for the purposes of (f) performing searches for information on your personal and professional life publicly available via social media services (e.g. Facebook, Google, LinkedIn, Twitter, etc.), on the Internet or within data you have previously disclosed to us, provided that such information might be of importance to your qualification for a particular executive or similar management position, (g) providing integration services on behalf of a client you have been placed with by monitoring your integration with the client, speaking with all parties involved and lending support for you to reach full effectiveness in your new role as soon as possible, (h) approaching you, after you have been placed with a client, as a client contact for the placement of other Candidates or as a source of information about potential Candidates for third-party clients, (i) ensuring that, after your placement with a client, you will not be recruited on behalf of another client unless you request consideration for other opportunities, and of (j) operating the databases your Candidate Information is stored in.

At no point will your Candidate Information be matched, linked or otherwise connected with Personal Information collected through other components of the Site for purposes other than providing Client Services. Your Candidate Data will be Processed until you revoke your  consent given when sharing Candidate Data with us through the Site. Upon the revocation of your declaration of consent, we will delete your Candidate Data from all databases.

By sharing your Candidate Information with us through this Site, you explicitly consent to the Processing of your Candidate Information, including any Sensitive Personal Information you might choose to disclose to us, as described above. (ii) The Leaders’ Circle – Declaration of Consent

The Leaders’ Circle is our online executive community that you can join in order to receive newsletters (1) and participate in surveys we conduct on important topics (2).

To become a member of the Leaders’ Circle, you need to create a Leaders’ Circle membership account (“Account”) on Leaders' Circle.

As part of the registration process, we ask you to provide us with certain mandatory information marked with an asterisk. Such information includes your last name, salutation, email address and a password that you specify in order to be able to access your Account in the future. It is necessary for us to be able to address you personally when sending you newsletters or surveys as described below. In addition, it allows us to offer you an easy way to manage your Leaders’ Circle membership at any time.

Beyond the mandatory information, you may choose to provide us with additional information that helps us understand your professional background and adjust the Leaders’ Circle services to your personal preferences and interests (3). This information may include all or any of the following: your first name, the company you work for, your position and industry background, the city/country you reside or work in and/or your particular business interests. None of this information is necessary for you to join the Leaders’ Circle and providing it to us is purely voluntary on your part.

When receiving a registration for the Leaders’ Circle, we log and store the date/time of registration and the IP address the registration was received from. This solely serves for evidentiary purposes in the event an email address is used to register for the Leaders’ Circle by an unauthorized party. In addition, we verify the authorized use of an email address by sending to such address an email asking for confirmation of the registration via a contained link. If and when the link is clicked on, we will automatically be notified that the registration has been confirmed from the email account initially used for the registration. Only upon such confirmation will the registration for the Leaders’ Circle become effective and will we send newsletters or survey emails to the respective email address (double opt-in procedure).

Once you have registered for the Leaders’ Circle and, where applicable, indicated during the registration process that you wish to receive certain content, we will send you, at our sole discretion, emails in irregular intervals with summaries of third-party business articles that we believe will be of particular relevance to you, select comments, reviews and reports of our consultants on relevant business trends, issues and questions (“Leadership Insights”) and/or promotional content regarding our Services (“Newsletter Service”); emails in irregular intervals providing you the opportunity to participate in surveys we conduct among the members of the Leaders’ Circle to learn their opinions on important business topics. Participation in the surveys is purely voluntary on your part.

In the event you chose to participate in a particular survey by providing your opinion or sharing other information (each a “Contribution”) with us, we might, subject to our sole discretion, use such Contributions, or parts thereof, to cite or otherwise reference them in articles of the Focus Magazine published by Hightech Partners on a regular basis and accessible on the Site, from within the “Hightech Partners” mobile apps available in various app stores worldwide or in hard copy. However, unless we have obtained your explicit prior consent in the individual case, we will not use your Contributions in a way allowing your identification (the execution of surveys and the use of Contributions as described above “Conducting Surveys”).

The Personal Information you make available to us when registering for the Leaders’ Circle or managing your membership will be stored and otherwise Processed by us solely for the purposes of providing the Newsletter Services (1), Conducting Surveys (2) and send you personalized content (3). We will not share such Personal Information with any third parties. Nor will we match, link or otherwise connect it with Personal Information collected through other components of the Site.

The Personal Information you share with us when registering for the Leaders’ Circle or managing your membership will be deleted at the end of your membership in the Leaders’ Circle. However, we reserve the right to archive or otherwise store and make available to the public indefinitely any articles of the Focus Magazine written or otherwise composed during your membership with Contributions containing your Personal Information, provided that we have obtained, in the individual case, your explicit prior consent to include the Personal Information in the respective articles.

With registering for the Leaders’ Circle and providing your Personal Information in the process, you explicitly consent to the Processing of such Personal Information as described above. 4. Sharing Your Personal Information

Your Candidate Information will be shared with third parties as follows:

• Your Candidate Information will be stored in databases located in Switzerland, considered by the European Commission as one of the countries that offers an adequate level of protection of personal data . The servers hosting the databases are operated by and accessible to members of the Hightech Partners - ITP Network or third-party service providers solely acting on their behalf and as per their instruction in order to operate the servers. The third-party service providers that are to be considered as Sub-Processors are Swisscenter, LMWEB SA, Planet Communications (CHE-110.480.530)_ - Switzerland;
• Via the databases, your Candidate Information will be available to the consultants and administrative staff of the different companies of Hightech Partners group and the Partners listed on our website for the purposes of providing the Client Services;
• Subject to our discretion, we might disclose excerpts of your Candidate Information such as your professional education and employment history with particular clients in order to confirm whether they might be interested in you as a Candidate with respect to an opening for an executive or similar management position they have informed us of. The information disclosed will be limited to what is necessary for this purpose. We will not disclose the entirety of your Candidate Information or otherwise introduce you to any client in detail without first obtaining separate and specific consent from you.
• We will not sell, share, or otherwise distribute your Personal Data to third parties except as provided in this Privacy Policy.
